GENERAL TERMS AND CONDITIONS OF SALE

Welcome to Scentorium. The terms “we,” “us,” and “our” refer to RECHARGE CENTER S.R.L., which operates the online store Scentorium. The below terms and conditions, together with any policies referenced herein (these “Terms of Service” or “Terms”) describe your rights and responsibilities when you use the Services.

GOVERNING LAW AND JURISDICTION: This contract is governed exclusively by Romanian law in force, particularly Law no. 365/2002 on electronic commerce ¹ and Government Emergency Ordinance no. 34/2014 (OUG 34/2014) on consumer rights in distance contracts.⁴

Please read these Terms of Service carefully, as they include important information about your legal rights. By visiting, interacting with, or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy.

SECTION 1. SELLER IDENTIFICATION (LEGAL OBLIGATIONS)

1.1. Legal Entity and Contact (Art. 6 OUG 34/2014)

The Seller (Profesionist), hereinafter referred to as Scentorium, is legally operated by:

Burden of Proof: The burden of proof regarding the fulfillment of all pre-contractual information requirements established by law rests exclusively with RECHARGE CENTER S.R.L. (Scentorium).⁵

SECTION 2. PRODUCTS, ACCESS AND ORDERS

This section incorporates elements of your original Sections 1 and 2, ensuring clarity regarding product descriptions and access.

2.1. Access and Account

By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence. To use the Services, you may be asked to provide certain information, such as your email address, billing, payment, and shipping information. You represent and warrant that all the information you provide in our stores is correct, current, and complete.

2.2. Our Products (Art. 6 OUG 34/2014)

We have made every effort to provide an accurate representation of our products. All product descriptions are subject to change at any time without notice at our sole discretion. We reserve the right to discontinue any product at any time and may limit the quantities of any products that we offer to any person, geographic region, or jurisdiction, on a case-by-case basis.

2.3. Orders

When you place an order, you are making an offer to purchase. Scentorium reserves the right to accept or decline your order for any reason at its discretion. Please review your order carefully before submitting. In the event that we do not accept, make a change to, or cancel an order, we will attempt to notify you by contacting the e‑mail, billing address, and/or phone number provided at the time the order was made.

SECTION 3. PRICING, BILLING, AND DELIVERY OBLIGATIONS

3.1. Prices and Billing (Art. 6 OUG 34/2014)

The price charged for a product or service will be the price in effect at the time the order is placed and will be set out in your order confirmation email. Prices displayed on the site are the total final price (with all taxes included), excluding costs that cannot reasonably be calculated in advance (e.g., shipping costs, which are shown separately at checkout).⁹

You agree to provide current, complete, and accurate purchase, payment, and account information for all purchases.

3.2. Delivery Obligation (Art. 59 OUG 34/2014)

Unless otherwise agreed upon, the Seller must deliver the goods by transferring the physical possession or control of the goods to the Buyer without undue delay and in any case within a maximum of 30 calendar days from the conclusion of the contract.¹²

3.3. Taxes on Imported Goods (Non-EU)

Given that Scentorium imports products from outside the European Union (Non-UE), the following fiscal rules apply:

• IOSS Regime (Intrinsic Value $\le$ 150 EUR): If Scentorium uses the IOSS scheme, the price displayed INCLUDES Romanian VAT, and the Buyer will NOT pay any additional VAT or Customs Duties upon delivery.¹³

• Mandatory Warning (Non-IOSS / Value > 150 EUR): The price displayed on the site (excluding shipping costs) DOES NOT include additional customs duties and/or import VAT, which may be charged by the Romanian Customs Authority or the carrier upon entry of the goods into Romania.¹⁰ In this case, the Buyer is considered the Importer of Record and is responsible for paying these fees directly upon arrival.

SECTION 4. RIGHT OF WITHDRAWAL AND HYGIENE EXCEPTION

This section replaces the generic reference to a "Refund Policy" and specifies the legal rights according to OUG 34/2014.

4.1. Right of Withdrawal (14 Days)

The Buyer benefits from a period of 14 calendar days to withdraw from the contract without giving any reason, counting from the day the Buyer acquires physical possession of the goods.⁴

Scentorium's Refund Obligation: If the Buyer withdraws, Scentorium will reimburse all payments received, including the costs of the initial standard delivery, if any, within 14 days of being informed of the decision to withdraw. Reimbursement may be withheld until the goods are received back or proof of shipment is provided.¹⁷

Buyer’s Obligation: The Buyer must return the goods no later than 14 days after communicating the withdrawal decision and shall bear the direct costs associated with returning the goods.⁴

4.2. Loss of Right Due to Hygiene (Art. 16 letter e)

The right of withdrawal does NOT apply to the supply of sealed goods which are not suitable for return due to health protection or hygiene reasons and were unsealed by the consumer.¹⁹

Since perfumes are hygiene products, the breaking, removal, or visible deterioration of the original protective seal (e.g., cellophane wrap) constitutes unsealing and leads to the irreversible loss of the right of withdrawal.²²

SECTION 5. INTELLECTUAL PROPERTY (IP)

This section is adapted to confirm protection under Romanian law (Law 84/1998 on Trademarks and Law 8/1996 on Copyright).

Our Services, including but not limited to all trademarks, brands, text, displays, images, graphics, and the design, selection, and arrangement thereof, are owned by Scentorium, its affiliates, or licensors and are protected by Romanian and European intellectual property laws.²²

5.1. Authenticity Guarantee

Scentorium guarantees that all perfumes commercialized are authentic and original products, purchased from legal sources.

5.2. Store's IP Rights

Scentorium’s names, logos, product and service names, designs, and slogans are trademarks of Scentorium (RECHARGE CENTER S.R.L.) or its affiliates or licensors. You must not use such trademarks without our prior written permission.²²

SECTION 6. DISPUTE RESOLUTION AND JURISDICTION

This section is mandatory for compliance with EU/ANPC directives.

6.1. Applicable Law and Complaints

These Terms shall be governed by and construed in accordance with Romanian law. Any dispute shall be settled amicably through Scentorium’s internal complaint procedure, as detailed in our policies.

6.2. Alternative Dispute Resolution (ADR/SAL)

If a dispute cannot be resolved amicably, the Consumer may resort to the procedures of Alternative Dispute Resolution (ADR/SAL) by contacting the entity within the National Consumer Protection Authority (ANPC).²⁴

6.3. Online Dispute Resolution (ODR/SOL)

In accordance with EU regulations, the mandatory link to the Online Dispute Resolution (ODR/SOL) Platform is provided here:24

SECTION 7. FINAL PROVISIONS

7.1. References to Other Policies

All personal information we collect through the Services is subject to our Privacy Policy and Cookie Policy. By using the Services, you acknowledge that you have read and understood these separate policies.

7.2. Errors and Changes

Occasionally there may be information on the Services that contain errors or omissions. We reserve the right to correct any errors, inaccuracies, or omissions, and to change or update information or cancel orders at any time without prior notice.

7.3. Termination and Severability

We may terminate this agreement or your access to the Services (or any part thereof) at any time. If any provision of these Terms is determined to be unlawful, void, or unenforceable, the validity and enforceability of any other remaining provisions shall not be affected.
